Dentons Canada LLP’s Edmonton office is seeking a highly motivated Corporate and Banking & Finance Associate with 3 – 5 years of post-call experience to join our dynamic and collaborative Corporate team.

The opportunity

Our Corporate and Banking & Finance team advises a diverse range of institutional and corporate clients on financial services and general commercial matters. We assist both lenders and borrowers with financing transactions that allow businesses to obtain funds necessary to meet their goals and objectives. Our practice includes a focus on commercial financing transactions, mergers and acquisitions, and general corporate/commercial matters.

You will work closely with experienced partners and colleagues in Edmonton and across Canada on meaningful, complex matters.

We are looking for a lawyer who is known for providing practical, timely, and solutions-based advice, and who takes pride in building trusted relationships with clients. We value candidates who show curiosity, initiative, and an interest in developing the foundations of their own practice with the support and guidance of our team.

Experience in the following areas will be considered an asset:

  • Lending transactions, including cash flow and acquisition financings, asset-based lending, loan syndications, construction financing, intercreditor matters, and cross-border transactions.
  • Acting for both borrowers and lenders in financing transactions.
  • Commercial financing transactions, mergers and acquisitions, real property transactions, lease negotiations, and equipment leasing and finance.
  • Advising on large-scale asset sales, private placements, venture capital investments, high yield note offerings, acquisitions, and franchise sales.

Responsibilities

  • Act on banking and finance transactions, including lending, acquisition financings, and corporate/commercial matters.
  • Draft, review, and negotiate a variety of financing and commercial agreements, such as credit agreements, shareholder agreements, partnership agreements, services contracts, and leases.
  • Support clients on due diligence, corporate governance, and regulatory issues.
  • Work collaboratively with colleagues across practice groups (e.g., Corporate, Real Estate).
  • Engage in business development and contribute to practice growth.

Qualifications

  • 3 – 5 years of corporate and banking & finance experience, gained in private practice or through relevant in‑house legal roles.
  • Member in good standing with the Law Society of Alberta (or eligible for transfer).
  • Strong drafting, analytical, and organizational skills.
  • Ability to manage multiple files with competing deadlines.
  • Ability to take initiative, work independently, and thrive in a collaborative team environment.
  • Demonstrated commitment to client service.
  • Known for providing practical, timely, and solutions-based legal advice.

This is a replacement position. The target salary range for this position is $135,000 – $180,000, commensurate with the successful candidate’s skills, experience, and qualifications. Dentons is committed to equitable and competitive compensation. This target range falls within our internal salary ranges, which are based on comparable roles in the external market.
