About the Opportunity
The General Counsel will serve as CarltonOne’s trusted advisor to the Executive Leadership Team and Board of Directors. This role is responsible for overseeing all legal, compliance, corporate governance, and risk management matters across the organization’s global operations.
You will combine strategic legal leadership with hands-on execution, supporting day-to-day commercial activities while guiding the company through growth initiatives, regulatory complexity, and potential mergers, acquisitions, or structural changes.
This role is ideal for a commercially minded legal leader who can balance risk management with business enablement, operate confidently at the board level, and scale legal practices to support a fast-growing global technology platform.
Responsibilities
Executive & Strategic Legal Leadership
- Serve as the primary legal advisor to the CEO, executive leadership team, and Board of Directors
- Provide accurate, practical legal guidance on all matters affecting the business, including corporate strategy, risk exposure, and regulatory compliance
- Participate in executive level decision-making related to company direction, growth initiatives, policy changes, and corporate transactions
- Support mergers, acquisitions, partnerships, and corporate restructurings, including due diligence and transaction execution
Corporate Governance & Board Support
- Assist with Board of Director preparations, materials, and governance practices
- Attend Board and committee meetings as required and provide legal counsel on governance matters
- Ensure compliance with corporate governance standards and investor requirements
- Maintain corporate records, resolutions, and statutory filings
Commercial, Contracting & Transactions
- Draft, review, and negotiate vendor agreements, client contracts, licensing agreements, and commercial partnerships across all CarltonOne products and services
- Lead negotiations with outside parties, customers, vendors, and strategic partners
- Establish contract standards, templates, and approval frameworks to support scalable growth
- Oversee the legal contract lifecycle and ensure effective contract management
Compliance, Risk & Policy Management
- Lead company wide compliance and risk management initiatives
- Ensure CarltonOne’s operations comply with applicable laws, regulations, and industry standards across multiple jurisdictions
- Create, draft, and maintain internal business policies that support strong governance and operational clarity
- Partner with internal stakeholders to identify, assess, and mitigate legal and regulatory risks
Legal Operations & Process Improvement
- Lead and manage internal legal team and external legal vendors or contractors
- Lead the definition, oversight, and implementation of legal projects and initiatives
- Establish legal processes and systems to improve contract review, tracking, and document management
- Maintain an accurate, organized record of all company legal documents
- Manage and optimize relationships with external legal counsel and advisors
Litigation & Regulatory Matters
- Advise the company on litigation strategy and dispute resolution, working closely with outside counsel as required
- Represent or advocate on CarltonOne’s behalf in legal proceedings where appropriate
- Communicate with regulators, external counsel, clients, and government entities as needed
- Ensure timely and effective response to regulatory inquiries or legal actions
Qualifications
- 8-10 years of progressive legal experience, including senior level responsibility
- Experience in a technology, SaaS, or global services environment strongly preferred
- Experience working in both law firm and in-house legal environments
- Demonstrated experience advising executive leadership teams and Boards of Directors
- Background supporting commercial contracts, regulatory compliance, and corporate governance
- Strong experience with cross border matters, particularly involving the United States
- Sound commercial judgment with a business first mindset
- Proven ability to navigate complex, multi jurisdictional legal environments
- Excellent drafting, negotiation, and communication skills
- Demonstrated ability to manage external counsel and legal vendors effectively
- Confidence operating at the executive and board levels
